Terms of Service

These Terms of Service (“Terms”) govern your use of the TaxEqual app for Shopify (the “Service”), provided by TaxEqual (“TaxEqual,” “we,” “us”). By installing the Service from the Shopify App Store, you (“you,” the “merchant”) agree to these Terms. If you do not agree, do not install or use the Service.
1. What the Service does
TaxEqual is US sales-tax compliance tooling for Shopify merchants. It syncs your order history, calculates tax collected and owed per jurisdiction, tracks economic nexus against your sales, produces filing-ready reports, and helps you manage state registration, notifications, and (on paid plans) related billing. The specific features included in your plan are described on the Plans page inside the app.
TaxEqual is compliance software, not a substitute for a tax professional. Rates, thresholds, and filing-frequency data are maintained from published state sources and can lag a state's own change, and jurisdiction rate data is not complete for every locality. TaxEqual does not currently file or remit returns on your behalf, and using the Service does not itself satisfy your legal filing obligations. Confirm any position that turns on the specific facts of your business with a qualified tax professional before you rely on it.
2. Eligibility and your account
You must have a Shopify store in good standing to use the Service. There is no separate TaxEqual account or password: your Shopify store is the account, and access is authenticated through Shopify each time you open the app. You are responsible for the accuracy of the business information you provide (business name, tax ID, addresses, and similar details), and for keeping your Shopify store's own access secure.
3. Plans, trials, and billing
- TaxEqual is offered on subscription plans described on the Plans page inside the app, which is the authoritative source for current pricing, limits, and any free-trial length for a given plan.
- Subscription and usage charges are billed through Shopify's Billing API and appear on your regular Shopify invoice — TaxEqual does not separately store or process your payment details.
- You can change or cancel your plan at any time from the Plans page, or by uninstalling the app. Charges already approved for the current billing period are not refunded except where Shopify's billing terms require it.
- We may change plan pricing or features going forward; a change to your current plan's price takes effect on your next billing cycle, and Shopify requires your approval before a new recurring charge amount takes effect.
4. Your responsibilities
As the merchant, you are responsible for:
- The accuracy of the business, product, and tax-settings information you provide;
- Reviewing the reports, nexus alerts, and registration recommendations TaxEqual produces before relying on them;
- Actually filing and remitting the tax you owe with each state — TaxEqual prepares filing-ready figures but does not currently submit returns on your behalf;
- Complying with the laws that apply to your business, including sales-tax collection and registration requirements; and
- Not using the Service for any store or business you are not authorized to represent.
5. Data and privacy
Our Privacy Policy describes what data we collect through the Service and how we handle it, including how data is removed if you uninstall the app or when Shopify notifies us of a customer data-erasure request. It is part of these Terms.
6. Intellectual property
TaxEqual and its logos, and the software, reports, and content the Service generates for you, remain the property of TaxEqual or its licensors, except for the data you provide (your business information and order data), which remains yours. We grant you a non-exclusive, non-transferable right to use the Service for your own business while your subscription is active.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT TAX FIGURES, NEXUS DETERMINATIONS, OR FILING RECOMMENDATIONS PRODUCED BY THE SERVICE ARE COMPLETE OR ACCURATE FOR YOUR SPECIFIC CIRCUMSTANCES, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU REMAIN SOLELY RESPONSIBLE FOR YOUR OWN TAX COMPLIANCE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAXEQUAL AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow these limitations, so some of them may not apply to you.
9. Termination
You may stop using the Service at any time by uninstalling it from your Shopify admin. We may suspend or terminate access to the Service if you breach these Terms, if required by Shopify, or if we discontinue the Service, with notice where practical. Data handling after uninstallation is described in our Privacy Policy.
10. Changes to these Terms
We may update these Terms as the Service changes. We will update the date at the top of this page, and where a change is material we will provide additional notice (such as an in-app notification) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles, unless applicable law requires otherwise.
